- Confidential Information shall mean any and all materials,
information and data (whether oral or written) of a business, scientific,
technical, operational, administrative, economic, planning, financial
or engineering nature or in the nature of intellectual property of any
kind relating either party and any of their subsidiaries or associated
companies, including copies of any such materials, information and data
and whether in hard copy form or stored in any computer or other information
retrieval system.
- Confidential Information shall remain the property
of the Disclosing Party and shall be returned upon written request of
the Disclosing Party or upon the Receiving Party¡¦s determination that
it no longer has a need for such Confidential Information.
- Nothing in this Article 1 shall prohibit the disclosure
of Confidential Information to any agency, authority, instrumentality
of any State or Government to the extent that such disclosure is required
by any law or regulation applicable to a Party. The Receiving Party
shall give prompt notice to the Disclosing Party of any such disclosure.
- Neither this Confidential Agreement nor the furnishing
of any Confidential Information by any party hereunder shall be construed
as granting to the other party any license under any patent, trademark,
copyright, or other intellectual property right.
